ACCT 563 - Corporate Law, Governance, and Professional Ethics Description: This course examines corporate rights and responsibilities, covering agency issues, incentives, monitoring, board structures, ethics, and legal principles governing relationships among managers, investors, and creditors.

Learner Outcomes: Upon successful completion of this course, the student will be able to:
- Synthesize the principles of good corporate governance;
- Compose the rights and responsibilities roles of participants in the corporation;
- Evaluate conflicts of interests, incentive and monitoring mechanisms in corporations;
- Evaluate the role of the accountant;
- Formulate professional ethics rules for accountants.
