ACCT 563 - Corporate Law, Governance, and Professional Ethics


Description:
This course examines corporate rights and responsibilities, covering agency issues, incentives, monitoring, board structures, ethics, and legal principles governing relationships among managers, investors, and creditors.

Learner Outcomes:
Upon successful completion of this course, the student will be able to:

  • Synthesize the principles of good corporate governance;
  • Compose the rights and responsibilities roles of participants in the corporation;
  • Evaluate conflicts of interests, incentive and monitoring mechanisms in corporations;
  • Evaluate the role of the accountant;
  • Formulate professional ethics rules for accountants.
  • Assess ethical dilemmas in corporations
  • Evaluate the structure of the corporate form;
  • Assess legal strategies of agency problems;
